
SERVICE AGREEMENT
Effective September 2026 These terms apply to visualization services provided by OTERO VISUAL (“the Studio”). They form part of every quotation, proposal or project confirmation issued by the Studio unless otherwise agreed in writing. The specific quotation or project confirmation defines the scope, number of images or animations, price, schedule and any project-specific conditions. In the event of a conflict, the project-specific quotation shall prevail.
1. PROJECT PROCESS
A typical visualization project follows the stages below: 01 — Start-up The Client provides the complete project information, 3D files, drawings, references and brief required to begin production. 02 — Project review OTERO VISUAL reviews the supplied material and may request clarification before production begins. 03 — Draft / Direction The Studio submits low-resolution draft images defining camera position, composition, lighting and overall visual direction. The Client provides one consolidated set of comments. 04 — Development Following approval of the visual direction, the Studio develops materials, vegetation, furniture, atmosphere, entourage and post-production. Further review images are submitted according to the revision process defined below. 05 — Final delivery The Studio implements the agreed corrections and delivers the final high-resolution files. Any alternative workflow or additional review stages must be agreed in the project quotation.
2. CLIENT MATERIAL
Before the agreed start date, the Client must provide all information reasonably necessary to complete the project, including where applicable: Final or substantially completed 3D model files. Architectural drawings and plans. Site plan and relevant contextual information. Material and finish specifications. Landscape and vegetation references. Furniture and product references. Site photographs. Project location. Design brief and intended purpose of the images. Relevant visual references. Any other information necessary to understand the project accurately. Accepted formats may include RVT, DWG, DXF, OBJ, FBX, 3DM, MAX, SKP, STL, PDF and other standard professional formats. The Client is responsible for the accuracy and completeness of all supplied information. Unless specifically included in the quotation, substantial architectural modelling, redesign or reconstruction of incomplete 3D information is not included. Minor modelling, geometry clean-up and scene preparation reasonably required for visualization may be carried out at the Studio’s discretion.
3. CLIENT RESPONSIBILITIES
The Client shall: Deliver the required start-up material before the agreed production date. Appoint one project representative with authority to approve the work. Provide clear and consolidated feedback. Respond within the agreed review periods. Notify the Studio immediately of any design changes that may affect the visualization. Ensure that materials supplied to OTERO VISUAL may lawfully be used for the project. Feedback received from several members of the Client’s team must be consolidated before being sent to the Studio. Contradictory or fragmented instructions may be treated as a new revision round.
4. REVISIONS
Unless otherwise specified in the quotation, the project includes three consolidated revision rounds. These rounds are intended to progressively refine: Camera position, composition and overall visual direction. Materials, lighting, landscaping, furniture, entourage and atmosphere. Final adjustments and detailed corrections before delivery. Revisions must relate to the design and information originally supplied. The following are considered additional work: Changes to the architectural design after production has started. Replacement or substantial modification of the supplied 3D model. New camera positions. New images. Significant changes to materials or landscaping after previous approval. Revisions reversing previously approved decisions. Additional revision rounds beyond the three included. Changes requested after final approval. Additional work will only be undertaken after informing the Client of the corresponding additional fee or schedule impact.
5. PROJECT SCHEDULE
The production schedule begins once: the project has been formally confirmed; the initial payment has been received, where applicable; and all information required to begin production has been delivered. The delivery date depends on the Client respecting the agreed review and feedback periods. If information, approvals or feedback are delayed, the Studio may reschedule the project according to its next available production capacity. A delay by the Client may therefore result in a corresponding or greater change to the final delivery date. Weekend, public holiday, overnight or rush production is not included unless specifically agreed. OTERO VISUAL will make reasonable efforts to accommodate urgent changes, but additional production capacity cannot be guaranteed.
6. DELIVERABLES
The Studio will deliver the images, animations or other content specifically identified in the quotation. Unless otherwise agreed, still images are supplied as high-resolution JPG, PNG or TIFF files at a minimum resolution suitable for professional publication and digital use. Exact resolution, aspect ratio, crop and file format may be specified by the Client before final production. Animations and video deliverables will be supplied at the resolution, frame rate and format stated in the project quotation. Source files Production files are not included in the standard visualization fee. This includes, without limitation: 3D scenes and models. MAX, 3DM, C4D or equivalent scene files. PSD or layered post-production files. Texture libraries. Material libraries. Asset libraries. Working photographs. Intermediate renders. Simulation or production files. Source files may be licensed or transferred separately where technically and legally possible, subject to an additional fee and any applicable third-party licensing restrictions.
7. VISUALIZATION ACCURACY
OTERO VISUAL produces architectural visualizations intended to communicate the design, atmosphere and visual qualities of a project. Visualizations are not architectural, engineering or construction documents. The Studio does not guarantee exact representation of: physical colours; material behaviour; dimensions not clearly documented by the Client; manufactured products; vegetation growth; natural lighting conditions; future surroundings; or elements subject to later design changes. Final construction decisions must therefore be based on the relevant architectural and technical documentation, not on the visualization alone.
8. FEES & PAYMENT
Project fees are defined in the corresponding quotation. Unless otherwise agreed: 50% is payable upon project confirmation. This payment confirms the booking and production slot. 50% is payable upon completion and before delivery of the final high-resolution, unwatermarked files. Invoices are payable within 30 calendar days unless otherwise stated in the quotation. Prices exclude VAT or other applicable taxes unless expressly indicated. Bank transfer costs, intermediary bank charges and similar payment costs are borne by the Client. In the event of late payment, statutory late-payment interest, recovery costs and any other applicable amounts may be charged in accordance with Spanish legislation and applicable European Union legislation governing commercial transactions and late payments. OTERO VISUAL may suspend ongoing work or withhold final deliverables while invoices remain overdue.
9. CANCELLATION & SUSPENSION
Production slots are reserved specifically for each project. If the Client cancels a project after confirmation, the Studio is entitled to payment for work already completed and for production time that cannot reasonably be reassigned. Unless otherwise agreed: Payments already made for production completed or reserved are non-refundable. If work completed exceeds the amount already paid, the remaining work performed will be invoiced. If a project is suspended by the Client for an extended period, restarting the project may require a new production date and revised quotation. If circumstances outside the reasonable control of either party materially prevent the project from continuing, both parties will seek a reasonable adjustment to the schedule or scope.
10. COPYRIGHT & USAGE RIGHTS
Unless expressly agreed otherwise, OTERO VISUAL retains the intellectual property rights in the visualizations it creates. Upon full payment, the Client receives a worldwide, non-exclusive licence for the duration of the applicable intellectual property rights to reproduce, publish and communicate the final delivered images for purposes directly related to the project, including: websites; social media; presentations; architectural competitions; award submissions; exhibitions; press and editorial communication; printed publications; portfolios; project marketing; commercial promotion of the corresponding development or architectural project. This licence applies to the final delivered visualizations only and does not include ownership or licensing of the Studio’s production files, tools, assets or working documents. The Client may resize, crop and place text or graphic elements over the images where reasonably required for publication. Material alteration, recreation or manipulation that substantially changes the artistic character or authorship of the visualization requires prior consent from OTERO VISUAL. The visualization itself may not be resold, sublicensed or distributed as an independent stock asset or visualization product without written permission. Any broader advertising campaign, third-party commercial exploitation or transfer of exclusive rights may be subject to a separate licence.
11. CREDIT
Where professional credits are customarily included — including architectural publications, press articles, books, awards and competition material — the Client shall use reasonable efforts to credit the visualization as: Images by OTERO VISUAL or Visualization: OTERO VISUAL No credit is required where the format or nature of the publication does not reasonably allow one.
12. PORTFOLIO RIGHTS
Once the project has been publicly released, OTERO VISUAL may display the completed visualizations on its: website; portfolio; social media; presentations; publications; exhibitions; awards; marketing material. The Studio will respect any agreed publication embargo. Where a project is subject to an NDA or other confidentiality agreement, those confidentiality obligations shall prevail.
13. CONFIDENTIALITY
OTERO VISUAL understands that architectural projects may contain confidential or commercially sensitive information. The Studio will treat non-public project information as confidential and will not intentionally disclose it to third parties except where reasonably necessary for production or where authorised by the Client. Confidentiality applies until the project becomes public or until otherwise agreed in writing. Specific NDA requirements must be communicated before production begins.
14. THIRD-PARTY MATERIAL
Visualization projects may incorporate licensed assets such as vegetation, furniture, textures, photographs, HDRI environments, 3D models and other production resources. Such third-party materials remain subject to their respective licences. The Client receives rights in the final visualization but does not acquire independent rights to extract, redistribute or reuse third-party assets contained in the Studio’s production files.
15. LIMITATION OF LIABILITY
To the maximum extent permitted by Spanish law and applicable European Union law, OTERO VISUAL shall not be liable for indirect, incidental or consequential losses arising from the use of the visualizations. The Studio’s aggregate liability arising from a project shall not exceed the fees actually paid to OTERO VISUAL for that project, except where such limitation is prohibited by applicable law. The Client remains responsible for architectural, technical, regulatory and commercial decisions relating to the underlying project.
16. ACCEPTANCE
Approval of a quotation, payment of the initial invoice or written instruction to begin production constitutes acceptance of these terms. Any modification to these terms must be agreed in writing.
17. GOVERNING LAW
This agreement is governed by the laws of Spain and any directly applicable legislation of the European Union. For business-to-business relationships, any dispute arising in connection with the services shall be submitted to the competent courts corresponding to the Studio’s registered address in Spain, unless mandatory Spanish or European Union legislation provides otherwise.
